Order Terms

The information below details the specific terms that apply to any Service Provider Quote accepted by Customer (the “Order“).

1. Scope of Work

Service Provider shall include a detailed statement of work (the “Scope of Work“) in the Quote detailing the services and products Service Provider will deliver to Customer. The pricing and quantities of the products and services in the Quote are based upon “Key Assumptions” detailed in the Quote. If any of these Key Assumptions are incorrect following Customer’s acceptance of the Quote, Service Provider reserves the right to modify the Scope of Work, product and service quantities, labor time budgets, pricing, or any other aspect of the Quote requiring adjustment to meet the new requirements.

2. Product Charges

Customer shall pre-pay in full the cost of any equipment, products, software, shipping, and any other non-labor items (collectively, the “Products“) included on the Quote before Service Provider will process the order for the products.

3. Labor Charges

Customer shall pay in full the cost of any labor upon Service Provider’s completion of the corresponding portion of the Scope of Work.

4. Restocking Fees

Customer is responsible for a fifteen (15) percent minimum restocking fee, packing costs, return shipping costs, and any other costs resulting from Customer’s return of Products to Service Provider.

5. Out of Scope Services

Any products or services requested in addition to those detailed in the Scope of Work are not included in the cost of the Quote and will either be (i) billed separately at rates set forth in the “Standard Labor Rates” located at https://db.mytos.page/standard-labor-rates; or (ii) quoted separately as an additional Scope of Work.

6. Receipt of Products

Customer must take receipt of Products within thirty (30) days of Quote acceptance (the “Delivery Deadline“). If Service Provider is not permitted by Customer to deliver the Products by the Deliver Deadline, Service Provider will be held harmless against any claims of Product loss, damage, or defect.

7. Delivery Delays

If Service Provider’s installation of Products or delivery of services is significantly delayed by Customer or for any reason outside of Service Provider’s direct control, Service Provider shall place Customer’s project in a hold status, and Customer shall pay Service Provider all outstanding balances for the Scope of Work, whether or not the Scope of Work has been completed.
